Shell plc has completed its acquisition of ARC Resources Ltd., a Canadian energy company, for approximately US$13.9 billion. The deal, finalized on September 2, 2026, follows the receipt of all necessary shareholder, court, and regulatory approvals. Under the terms of the Arrangement Agreement, ARC shareholders will receive CAD $8.20 in cash and 0.40247 ordinary shares of Shell for each ARC share they hold. This strategic acquisition is expected to enhance Shell's production capabilities in Canada, particularly in the Montney basin, and support the company’s long-term growth objectives.

ARC Resources, headquartered in Calgary, Alberta, is known for its focus on natural gas and liquids production, primarily in British Columbia and Alberta. The acquisition adds approximately 370,000 barrels of oil equivalent per day (kboe/d) to Shell's production portfolio, which is projected to support a compound annual growth rate (CAGR) of around 4% through 2030. This move aligns with Shell's strategy to increase its exposure to long-duration, low-cost production assets, particularly in the context of rising global energy demand and the ongoing transition towards cleaner energy sources.

The financial structure of the deal involves Shell assuming approximately US$2.5 billion in net debt and leases from ARC, resulting in an enterprise value of approximately US$16.5 billion. The equity portion of the transaction will be funded through US$3.3 billion in cash and US$10.6 billion in new Shell shares. Shell anticipates that the acquisition will generate double-digit returns and enhance long-term cash flows, becoming accretive to free cash flow per share from 2027 onwards. This financial outlook underscores Shell's commitment to disciplined capital allocation and operational excellence.

The acquisition of ARC Resources also complements Shell's existing liquefied natural gas (LNG) operations and extensive downstream businesses, which include refining, chemicals, and fuel retail. As the energy sector continues to evolve, characterized by increasing regulatory pressures and a shift towards sustainability, Shell's strategic expansion in Canada positions the company to capitalize on emerging opportunities in both traditional and renewable energy markets.

In summary, Shell's acquisition of ARC Resources is a significant move that not only strengthens its foothold in the Canadian energy landscape but also reflects broader trends in the energy sector. As companies navigate the complexities of energy transition, strategic acquisitions like this one are likely to play a critical role in shaping the future of energy production and investment. The successful integration of ARC's operations will be crucial for Shell as it seeks to unlock the full potential of this transaction and drive sustainable growth in the years ahead.
