Keweenaw Financial Corp. and Range Financial Corp. have announced a definitive merger agreement to combine their respective banking operations, Superior National Bank and Range Bank, in a transaction valued at an undisclosed amount. The merger, which is expected to close in the fourth quarter of 2026, will create a combined entity with total assets exceeding $1.68 billion. The new bank will operate under the name Superior Range Bank, N.A., and will be headquartered in Hancock, Michigan.

Superior National Bank, the largest community bank in Michigan's Upper Peninsula, has approximately $1.05 billion in assets and serves customers through ten locations. Founded in 1890, it has built a strong reputation over more than a century of operation. Range Bank, established in 1887, is the third largest community bank in the region, with around $635 million in assets and eight locations serving clients in the Upper Peninsula and Green Bay, Wisconsin. The merger aims to enhance product offerings and customer convenience while creating shareholder value for both organizations.

The strategic rationale behind the merger lies in the complementary strengths of the two banks. By combining their resources, the newly formed Superior Range Bank will be able to offer a wider array of financial products and services, including larger commercial loan limits and increased convenience for customers through an expanded branch network. Leaders from both banks have emphasized their shared commitment to community banking and customer service, which they believe will be the foundation for the success of the combined institution.

The merger is subject to shareholder and regulatory approvals, including a fairness opinion from financial advisors Piper Sandler & Co. for Keweenaw Financial and Performance Trust Capital Partners, LLC for Range Financial. The boards of directors for the new entity will consist of seven members from Superior National Bank and five from Range Bank, ensuring representation from both legacy institutions. This governance structure is designed to facilitate a smooth integration process and maintain continuity in leadership.

As the banking sector continues to evolve, this merger reflects broader trends of consolidation aimed at achieving scale and operational efficiency. By joining forces, Superior National Bank and Range Bank are positioning themselves to better navigate increasing regulatory, technology, and cybersecurity costs that are prevalent in the industry. The combined institution is expected to strengthen its competitive stance in the market, ultimately benefiting customers and shareholders alike in the Upper Peninsula, Northeast Wisconsin, and Southeast Michigan regions.
