Ballard Power Systems Inc. has announced the acquisition of GeoPura Limited, a provider of zero-emission hydrogen energy solutions, for an initial purchase price of £275 million (approximately $400 million). The deal, which was finalized on June 24, 2026, aims to expand Ballard's business model and generate recurring revenue streams. The total enterprise value of the transaction, including the assumption of GeoPura's net debt, amounts to £301.1 million.

This strategic acquisition is designed to enhance Ballard's energy services offerings, positioning the company as a vertically integrated provider of Energy as a Service (EaaS). The combined capabilities will include hydrogen production, distribution, logistics, refueling, fuel cells, and stationary power generation. The company operates three production sites, including a 50% stake in HyMarnham Power, and serves a diverse clientele that includes major organizations such as the BBC, Disney, and the UK Ministry of Defence. GeoPura's technology is characterized by its reliability, instantaneous responsiveness, low noise levels, and zero emissions, making it a competitive and independent solution for a wide range of end markets.

The acquisition is expected to facilitate Ballard's path to profitability by 2028, with projected annual EBITDA synergies of $25 million. The initial purchase price will be financed through a combination of cash and the issuance of approximately 50.8 million shares of Ballard common stock to GeoPura's shareholders. Additionally, a contingent consideration of up to £27.5 million may be payable based on specific financial milestones achieved by GeoPura post-acquisition.
