Aura, a prominent player in the online safety sector, has successfully completed its acquisition of Qoria, a company recognized for its focus on student safety and wellbeing. The deal, finalized on July 17, 2026, enhances Aura's capabilities in the rapidly evolving digital safety market, although the financial terms of the transaction remain undisclosed. Following the acquisition, Aura's CHESS Depositary Interests (CDIs) are set to commence normal trading on the Australian Securities Exchange (ASX) on July 20, 2026.

Both Aura and Qoria are mission-driven organizations committed to enhancing safety and wellbeing across various environments. Aura's AI-powered platform provides comprehensive protection against identity theft, financial fraud, and online threats, while Qoria has established a global ecosystem that connects schools to improve student safety. The merger of these two companies is expected to create a more diversified business, significantly broadening Aura's global reach. The combined entity will benefit from Qoria's established base of approximately 32,000 school customers and a substantial number of Qustodio parent accounts, further solidifying Aura's position in the online safety landscape.

The strategic rationale behind this acquisition is rooted in the increasing demand for comprehensive online safety solutions. As digital threats continue to evolve, both companies aim to provide an end-to-end, AI-first model that proactively safeguards users in critical environments such as home, school, and work. The acquisition is projected to generate over US$300 million in annual recurring revenue (ARR) on a pro forma basis for the year ending December 31, 2025, with an ambitious target of more than 20 percent growth in 2026. This growth trajectory is indicative of the rising importance of digital safety solutions in an increasingly connected world.

The completion of the acquisition follows the fulfillment of all conditions outlined under the Australian Scheme of Arrangement, including approval from Qoria shareholders and the Federal Court of Australia. Eligible Qoria shareholders will receive Aura CDIs in exchange for their shares at a ratio of approximately 1 Aura CDI for every 17.32 Qoria shares held. Additionally, Aura has raised US$100 million through an equity placement to bolster its financial position post-acquisition.

This acquisition reflects broader trends within the online safety sector, where consolidation is becoming increasingly common as companies seek to enhance their service offerings and expand their market presence. As Aura integrates Qoria's capabilities, the combined entity is well-positioned to lead in the digital safety space, addressing the growing concerns of consumers and enterprises alike. The market outlook remains positive, with expectations of sustained growth driven by heightened awareness of online threats and the increasing need for comprehensive safety solutions.
