Global investment group La Caisse and Grupo Energía Bogotá (GEB) have finalized an agreement to establish a jointly controlled power transmission platform in Brazil, named Verene Energia S.A. The joint venture, which will be co-owned on a 50/50 basis, aims to consolidate their respective transmission assets in the country, encompassing 26 electric transmission concession agreements and over 9,000 kilometers of transmission lines. Financial close for this transaction is anticipated by the fourth quarter of 2026, pending customary closing conditions.

Verene Energia S.A. will emerge as one of the top five power transmission players in Brazil, significantly enhancing the operational scale and market presence of both La Caisse and GEB. The platform will employ over 400 personnel and will operate across 17 Brazilian states, positioning it strategically to capitalize on growth opportunities within Brazil's evolving energy landscape. The joint venture reflects a commitment to optimize and expand existing transmission networks while pursuing potential acquisitions, aligning with Brazil's broader objectives of grid modernization and decarbonization.

La Caisse, a prominent global investment group, brings over 60 years of experience in generating long-term returns for its depositors while contributing to economic development. Its partnership with GEB, a leading Latin American energy infrastructure group with more than 130 years of operational heritage, is expected to leverage GEB's regional expertise and operational excellence. This collaboration is designed to create a robust platform that can accelerate growth and enhance energy infrastructure in Brazil, supporting the country’s ongoing energy transition.

The establishment of Verene Energia S.A. comes at a time when Brazil is actively seeking to modernize its energy infrastructure and transition towards more sustainable energy sources. The joint venture is well-positioned to play a pivotal role in this transformation, as it will not only enhance the efficiency of the existing transmission network but also contribute to the development of new projects that align with national sustainability goals.

As the energy sector continues to evolve, the partnership between La Caisse and GEB underscores the increasing trend of strategic alliances in the energy infrastructure space. Such collaborations are likely to become more common as companies seek to pool resources and expertise to navigate the complexities of energy transition and infrastructure development. The successful establishment of Verene Energia S.A. may serve as a model for future joint ventures in the sector, reflecting a growing recognition of the importance of collaboration in achieving sustainable energy outcomes.
